When you are an Executive Compensation Manager at Caterpillar, you will provide leadership to the delivery of our equity awards (stock options, stock appreciation rights, and restricted stock) portion of the Caterpillar Long-Term Incentive Plan. You will be the lead contact and liaison for officers and Board of Director members who participate in the plan. You will be responsible for officer-level (including CEO) retirement counseling plus related counseling to surviving spouses of these executives. You will be accountable for the complete administration of the Director’s Deferred Compensation Plan, management of Director compensation payments and provide officer counseling on Total Rewards. In addition, you will work on projects for the Director of Total Rewards or Chief Human Resources Officer.
Job Duties/Responsibilities may include, but are not limited to:
*Provides counseling to executives on Total Rewards issues
especially as they relate to retirement and equity compensation. Consults on compensation plans for the
executive group, working directly with outside financial professionals
(attorneys, accountants, and financial planners) in developing overall
tax/financial plans and formal retirement counseling for up to and including
the Chairman & CEO.
*Provides advice and support to the Director of Total Rewards on
industry trends in the arena of Executive Compensation, especially concerning
equity awards. Analyze regulatory
developments and determining how the equity award plan may be affected on a company
*Administration of the Board of Directors’ deferred compensation,
restricted stock, and stock compensation accounts. Responsible for
preparing and communicating distribution payouts from the deferred plan.
*Administration of the Board of Directors quarterly cash compensation payments and annual tax reporting. Responsible for facilitating the payments of any cash compensation and the reporting of any income for annual tax purposes.

*Monitors system operation and output with an eye towards continuous improvement by identifying functions where increased efficiencies could be gained and working with the system programmers to build enhanced functions into the system.
Executive Compensation: Plan Design
*Develops policy and best
practices such as acceptable exercise
methods, acceptable tax withholding methods, and various other policies
surrounding the exercise, transfer, and maintenance of the equity award
*Monitors the effectiveness of the equity award plan in attracting
and retaining key employees and adjusting the plan where shortfalls are
*Serve as a subject matter expert on equity compensation/deferred
compensation related issues for various project teams.
*Educates option holders on technical aspects of the
equity award program. Includes
development of educational materials and tools for the award holders to use in
learning the stock option program.
Includes development of and monitoring of the stock option website. *Administers the Restricted
Stock Award Program including the plan design, communication, and vendor
relationship for the program.
*7 or more years of experience in Total Rewards (Compensation and Benefits), Accounting, Tax, Finance or Legal.
*Demonstrated ability to work effectively with top management and outside board members.
*Limited travel required (Less than 5% of working time) if the position is based in Deerfield. If position is based in Peoria, travel will be 20%-40% depending on business needs.

*A college or university degree.
*Broad knowledge of various Caterpillar Total Rewards policies and programs in particular retirement related programs.
*Experience in a Financial Planner/Financial Advisor role.
*Previous leadership experience and the ability to build strong relationships/partnerships is critical combined with the ability to quickly accommodate changing business priorities.
*Excellent interpersonal skills to deal with sensitive confidential issues, develop others, or persuade others inside and outside the department to take specific actions.
*Strong analytical and project management skills.
*Ability to build strong relationships with various stakeholders.
