Job Description



As the International Tax Manager II, you will be responsible for U.S. tax planning and analysis related to Caterpillar’s non-U.S. subsidiaries.  The position is part of a planning team that works with business partners within and outside the Global Tax department in providing U.S. tax advice and solutions for complex projects and/or initiatives.   


The Deerfield or Peoria, IL based position will have in depth knowledge of U.S. international tax principles, including Subpart F, GILTI, Sec 959 ordering, and Sec 861 apportionment.  The role is responsible for providing expert tax advice to business partners, analyzing and implementing planning strategies, and reviewing material U.S. international compliance positions and/or legal entity inclusions. 




Job Duties:




This position provides in-depth knowledge on U.S. international tax matters for companies within the Caterpillar enterprise. Primary areas of focus will include planning, repatriation, and advising businesses and regional tax teams on U.S. international tax impacts of transactions. The individual will act as a lead or technical advisor on planning projects and improvements of tax processes, especially related to the impact of U.S. tax reform.




The candidate will lead and advise on projects involving complex issues or problems, which require careful analysis and diagnosis. Problems are often unique, and solutions may require original approaches. The individual sponsors projects which may modify existing approaches or develop new solutions.




Main components of the position:

  • Tax Planning and Advisor – Provides specific and actionable guidance on tax issues involved in internal structural and transactional planning. Identifies tax-beneficial opportunities and implements work plans to optimize enterprise results. Works with internal and external resources to create, implement and manage complex tax positions, integrating both U.S. and foreign consequences. Provides tax advice and education to managers in Global Tax, Corporate Accounting, Corporate Treasury, business units and subsidiaries.
  • Legislative Activity – Monitors, analyzes and determines financial impact of critical proposed tax laws and regulations. Assists Senior Management with communications to company leadership and external coalitions and taxpayer organization to influence the course of legislation. Tax Compliance – Provides strategic leadership in the completion of various tax regulatory reporting requirements. Serves as senior advisor on complex and comprehensive issues. Reviews material U.S. international tax positions or results.
  • Audit Activity – Provides strategic tax advice and guidance to develop documentation and arguments for tax audits and appeals as needed.  Develops responses to IRS inquiries on complex topics and analyzes technical positions in IRS audit examinations. 

  • Risk Management – Works with counterparts to guide the development, maintenance and updating of control procedures and policies related to U.S. international tax positions.

  • Mergers and Acquisitions – Provides tax advice regarding organizational and operational structures including implementation, integration, and post-acquisition/divestiture consulting.
    This position works closely with other groups in the Global Tax organization, including but not limited to the Center of Excellence, Regional Tax, and Transfer Pricing teams.
    Limited travel required (Less than 15% of working time).






Required skills & qualifications:

  • College/university degree or equivalent experience
  • Certified Public Accountant, Master of Science in Taxation, or JD/LLM certification, or equivalent experience
  • Eight or more years of progressively responsible tax related experience
  • Strong background in corporate income taxation, especially U.S. international tax
  • Demonstrate high levels of initiative, judgement, and communication skills
  • Ability to work collaboratively with cross-functional peers while maintaining an enterprise perspective

Desired skills & qualifications:

  • Experience in Subpart F, foreign tax credit limitation and U.S. tax analysis of reorganizations is preferred. 
  • Experience in income tax accounting principles
